• Represented co-owner of a “car condo” real estate development project in the Little River neighborhood of Miami, Florida, in the acquisition of the other co-owner’s interests in the project
• Represented buyer in the acquisition of a medical devices company headquartered in Miami Lakes, Florida
• Represented owner of a state-licensed medical marijuana company in the sale of the company to a multistate operator in the state-legal cannabis industry
• Routinely represents buyers and sellers in the acquisition and sale of equity interests in, and the assets of, limited liability companies and corporations across virtually all industries, ranging from commercial and residential real estate and construction to professional and marketing services, manufacturing, retail, and high-technology

• Routinely prepares corporate bylaws and shareholders’ agreements for corporations, and operating agreements for limited liability companies, including the negotiation and drafting of rights of first refusal, preemptive rights, drag-along and tag-along rights, and buy-sell rights, among other business-critical provisions
• Routinely serves as corporate/company counsel at board of directors’/managers’ meetings and shareholders’/members’ meetings, and prepares legal documentation associated with the approval of proposed corporate and limited liability company actions
• Routinely advises and provides counsel to management and boards of directors on the legal aspects of corporate and company governance matters
• Routinely negotiates and drafts agreements and related documents pertaining to the issuance of equity in companies to new investors
• Preparation of agreements and related legal documentation pertaining to the granting of equity interests and “phantom equity” rights to key company employees

• Routinely represents companies in the negotiation and drafting of complex agreements pertaining to various types of commercial relationships, including sponsorship and media agreements, consulting agreements, master service agreements, Software as a Service (SaaS) agreements, lease agreements, and supply and distribution agreements
• Routinely represents companies in the negotiation and preparation of intellectual property license agreements
• Routinely represents companies in the drafting of restrictive covenants (i.e., non-competition, non-solicitation, non-circumvention, and non-disclosure agreements) with employees, independent contractors, and other commercial counterparties

• Represented joint venturer in the negotiation and preparation of joint venture agreements pertaining to a high-end/luxury real estate development project in Miami, Florida
• Routinely represents hospitality and retail brands in the negotiation and drafting of agreements with other brands, companies, and entertainers pertaining to commercial “collaborations” and “co-branded” events, activations, and ventures

• Routinely represents strategic and financial investors in the due diligence of, and negotiation of investments (including Simple Agreement for Future Equity (SAFE) investments, convertible debt, equity investments, and option rights) in technology-focused and various other early-stage companies

• Routinely represents commercial borrowers, guarantors, and lenders in the due diligence process and the negotiation and drafting of loan and line of credit agreements, promissory notes (including convertible promissory notes), security agreements, mortgages, and guarantees

For more than two decades, Hal has represented numerous clients in complex commercial litigation and arbitration matters, including extensive experience serving as counsel in federal and state court trials and final hearings before arbitration tribunals.  Hal’s representation of clients in commercial litigation and arbitration cases includes the following:

• Representation of seller in disputes, through trial and appeal, with buyer of Venezuela-based specialty plastics company
• Defended international travel distributor against claim for injunctive relief arising from alleged breach of duplication, reverse engineering, and non-competition provisions in license agreement with technology provider
• Defended Fortune 100 company in action by medical equipment distributor related to alleged distribution rights in Colombia
• Represented Fortune 500 company, as plaintiff, in trademark infringement, defamation, tortious interference, and deceptive and unfair trade practices action arising from defendant’s operation of a website (“gripe site”) and use of associated domain names
• Routinely represents ownership and shareholder interests in internal disputes within joint ventures, limited liability companies, and closely-held corporations

• Represented sellers of aviation services company and related party in post-sale disputes with buyer and affiliated entities in arbitration proceedings administered by the International Chamber of Commerce (ICC)
• Represented multinational financial services firm, as claimant, in arbitration action (administered by the Financial Industry Regulatory Authority (FINRA)) arising from non-solicitation and confidentiality agreements with several former employees
• Represented multinational financial services firm, as claimant, in unauthorized trading arbitration action (administered by FINRA) based upon foreign exchange trading activities of former trader at the firm
• Represented individual and entity investors as claimants in International Centre for Dispute Resolution (ICDR) administered arbitration action against European-headquartered bank concerning investments made in a Madoff feeder fund
